The retainer agreement is the first document a new client signs. It defines the scope of your representation, your fee structure, payment terms, and the conditions under which either party can terminate the engagement. If something goes wrong in the relationship, this document is what you stand behind.

Bar complaints and fee disputes often trace back to ambiguity in the retainer. Scope creep, billing disagreements, unrealistic client expectations — most of these situations are preventable with a clear, complete engagement letter signed before work begins.

Yet most solo attorneys use a retainer agreement template they created years ago, rarely update it, and spend 20 to 30 minutes manually filling in client details for every new matter. Automating this document is the single highest-leverage change you can make to your intake process.

The Essential Clauses Every Retainer Must Include

Legal reference books for drafting guidelines

Scope of representation. This clause defines exactly what legal work you are agreeing to perform and, equally importantly, what you are not. Vague scope language is the leading cause of client disputes. Be specific: name the matter, the court if applicable, the legal theory if relevant, and any tasks explicitly excluded.

Fee structure. Whether you charge hourly, flat fee, contingency, or a hybrid, the agreement must state this clearly. For hourly arrangements, include your rate, billing increments (tenths of an hour versus quarter-hour), and rates for any support staff whose time you bill separately.

Retainer amount and replenishment. If you collect a retainer deposit, specify the amount, how it will be held (operating versus trust account, jurisdiction-dependent), when it will be applied to earned fees, and at what remaining balance the client must replenish it.

Payment terms and late fees. State when invoices are due, your late payment policy, whether interest accrues on overdue balances, and whether you will suspend work for non-payment. Courts have upheld fee suspension clauses when the terms were clearly stated in the original agreement.

Communication expectations. Define your typical response time for calls and emails. This clause reduces client anxiety and gives you documented expectations to point to if a client becomes unreasonably demanding about response times.

Termination rights. Both parties need a clear exit. Describe what happens if the client discharges you, the conditions under which you may withdraw, and how fees earned to date will be calculated in either scenario.

Common Retainer Agreement Mistakes Solo Attorneys Make

Burying the fee structure in dense prose. Some attorneys write fee terms in paragraphs mixed with other clauses. If a client later disputes your fee, you want to point to a clear, readable section. Consider bolding or creating a dedicated fee section with its own heading.

Using matter language that is too broad. "Representation in your personal injury claim" is vague. "Representation in your personal injury claim against Maria Lopez arising from the March 3, 2026 motor vehicle accident on Interstate 10 near mile marker 45" is specific. Specificity protects you when scope questions arise.

Omitting a conflicts disclosure. If you represent other clients in similar matter types, your retainer should include appropriate disclosure language and, where bar rules require it, a written conflicts waiver signed by the client.

Not updating after a rate increase. If you raise your hourly rate during an active engagement and your original retainer still references the old rate, an addendum or amendment should document the change clearly.

Requiring a signature but not storing proof. Emailing a retainer and assuming silence equals acceptance is not the same as a signed agreement. Use e-signature tools or require a written confirmation. A signed agreement you cannot produce in a dispute is nearly as bad as no agreement at all.
